Kotzilla Platform license
Version 2.0. In force from 21 August 2026. Previous version: 1.0 (2023).
By using any of the components of the Kotzilla Platform, you accept this Kotzilla Platform License (the "Licence").
1. Parties and subject matter
The Kotzilla Platform software (the "Software") and any modification made to it are proprietary software published by KOTZILLA SAS (the "Company"), a French société par actions simplifiée registered under number 921 682 076 with the Toulouse Registry of Commerce, having its registered office at 3 rue Alaric II, 31000 Toulouse, France. The Company is the exclusive owner of the Software, with the exception of any integrated open source components, which remain the property of their authors and are governed by their own licences. Where a component of the Software integrates open source components, they are listed in the third-party notices published on the Kotzilla documentation site and, where required by the applicable open source licence, in the notices distributed with that component.
By using the Software, you, as the user (the "User"), accept this Licence without reservation and undertake not to challenge the Company's intellectual property rights in the design and marketing of the Software.
2. Scope of the Licence
2.1 This Licence covers the components installed by the User, namely the Kotzilla SDK, the Koin IDE Plugin and the Kotzilla Gradle Plugin.
2.2 This Licence does not cover access to the hosted components of the Kotzilla Platform, namely the Kotzilla Console, the Kotzilla MCP Server and the analysis backend. Access to those components is governed by the plan or the subscription in force, under the Kotzilla Terms and Conditions, and is not extended by this Licence.
3. Grant
3.1 The Company grants the User a personal, non-exclusive and non-transferable licence to install and use the Software, for the User's own needs, for the duration set out in Article 6. Use of the Software requires a valid Kotzilla account. This Licence binds the User from the first use of the Software, including any download, installation, build integration or execution, whether or not an account has been created, and the restrictions set out in Article 4 apply in all cases.
3.2 The Software is made available without separate charge. The fees for the Service, where any, are those set out in the applicable plan or Order Form. The use of new features released by the Company may be subject to additional fees, which are not covered by this Licence.
4. Permitted use
4.1 The User may use the Software for the applications which it develops, publishes or maintains, including on behalf of third parties, provided that:
- the User remains solely liable to the Company for compliance with this Licence and with the Terms and Conditions;
- the User holds the authorisations required from the owner of the application concerned;
- each application instrumented is counted against the User's plan or subscription;
- access to the hosted components is given only to named users under the User's own account.
4.2 The User may not: sublicense, assign, share, redistribute or resell the Software; incorporate the Software into a product or service supplied to a third party under its own name, other than as embedded in an application instrumented by the User in accordance with Article 4.1, including where that application is supplied to or operated for a third party; give a third party access to its account other than as a named user; nor perform, by means of the Software, any service for a third party which consists in supplying access to the Software itself.
Any of the operations listed in Article 4.2 requires the prior written consent of the Company.
5. Restrictions
5.1 The User may reproduce the Software only to the extent necessary for its normal use, namely its integration into the User's applications, its storage in the User's repositories, development environments and build and continuous integration pipelines, and the distribution of the resulting applications. Any other reproduction is prohibited, in particular the extraction, the redistribution and the making available of the Software as a stand-alone component, whether or not for consideration. The right to make a back-up copy under Article L122-6-1 of the French Intellectual Property Code is reserved. Reproduction of the associated documentation is prohibited.
5.2 The Company reserves the exclusive right to modify the Software, in particular in order to correct errors. The User may not modify the Software, nor have it modified by a third party, nor decompile it or reverse engineer it, save within the limits of the mandatory provisions of French law.
5.3 The User may not circumvent any quota, limit or security measure, nor use the Software in order to develop a competing product or service.
6. Duration and termination
6.1 This Licence takes effect on the first use of the Software, or on the creation of the User's Kotzilla account if earlier, and remains in force until it terminates under Article 6.2, whether or not a paid subscription is in force.
6.2 This Licence terminates automatically, without formality:
- on the closure or deletion of the User's account, whatever the cause;
- where no component of the Kotzilla Platform has been used for a continuous period of six (6) months and no subscription is in force at the end of that period, the Company giving the User thirty (30) days' prior notice by email before that termination takes effect;
- where the User holds no Kotzilla account, six (6) months after the last use of the Software;
- thirty (30) days after a written notice of breach of this Licence has remained without effect, without prejudice to any damages that may be claimed from the defaulting party.
6.3 On termination of the Licence, the User ceases all use of the Software, removes it from its development environments and from the applications which it has not yet distributed, and destroys the copies in its possession or under its control. That obligation does not extend to the copies already embedded in applications distributed by the User before termination, which remain covered by this Licence for the sole purpose of their continued distribution and operation, to the exclusion of any new integration.
6.4 The following survive the termination of this Licence, for any reason: Articles 1, 4, 5, 6.3, 7, 8 and 10.
7. Support and warranties
7.1 The Company is not obliged to provide technical support on the Software. It endeavours to do so within a reasonable time where a request is made by a User who holds a subscription. Committed response times apply only where a Service Level Agreement has been signed.
7.2 The Company makes no representation and gives no warranty that the Software is free of errors.
7.3 The User is responsible for the use it makes of the Software and for the results obtained. It is for the User to verify and safeguard the results obtained and the data used.
8. Liability
The liability of the Company under this Licence is subject to the limitations and exclusions set out in Article 13 of the Kotzilla Terms and Conditions, published at https://kotzilla.io/terms-and-conditions. Those limitations do not apply to fraud, gross negligence, personal injury, or any other liability which cannot be limited by law.
9. Relationship with the other contractual documents
This Licence supplements the Kotzilla Terms and Conditions and, where applicable, the Order Form signed by the User. In the event of a contradiction, the Order Form, then the Terms and Conditions, prevail over this Licence.
10. Miscellaneous
Should any provision of this Licence be held void or deprived of effect, in whole or in part, the other provisions remain in force. The parties undertake to replace the affected provision by an amendment, at the request of either of them.
This Licence is governed by French law. Any dispute is subject to the exclusive jurisdiction of the courts of Toulouse, France.
